1. Agreement to Terms

By accessing or using Piggyback ("the Platform"), operated by Agent Launch LLC, a Delaware limited liability company ("Company," "we," "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Platform.

2. Platform Description & No Investment Advice

Piggyback is a verified trade streaming platform that enables investors ("Creators") to share brokerage-verified trades and portfolio data with subscribers. The Platform is educational and informational in nature only.

Neither Piggyback, Agent Launch LLC, nor any Creator on the Platform is a registered investment adviser, broker-dealer, or financial planner. Nothing on this Platform constitutes a recommendation to buy, sell, or hold any security.

The display of any Creator's trades, holdings, or portfolio data reflects their personal investment decisions shared for educational purposes. It does not constitute a recommendation, solicitation, or offer to buy or sell securities.

3. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate, current information when creating an account. You must be at least 18 years old to use Piggyback.

4. Brokerage Connections

Creators may connect their brokerage accounts through SnapTrade, a third-party integration provider. Piggyback accesses brokerage data in read-only mode. We never store your brokerage credentials, and we cannot execute trades or modify your accounts.

By connecting your brokerage, you authorize Piggyback to retrieve your portfolio holdings, trade history, and account performance data. The visibility of this data — what is shown publicly, what is shown only to paid subscribers, and what remains private — is controlled entirely by you through the privacy settings described in Section 5. Connecting a brokerage does not, by itself, make any data public.

You acknowledge that brokerage data flows through third-party providers (including but not limited to SnapTrade, Supabase, and Vercel) over which Piggyback has no operational control. Outages, bugs, latency, or errors in those providers can affect what data is displayed and when. Piggyback provides the platform on a best-effort basis and makes no warranty that displayed data is accurate, current, or complete.

5. Privacy Settings & Data Visibility

Default state: private. Public disclosure requires affirmative action by you.

When you create an account, every privacy toggle controlling the public visibility of your portfolio value, position count, year-to-date return, individual positions, and trade history is set to off. Your data is not visible to public visitors, other users, or paid subscribers until you explicitly enable the corresponding toggle in onboarding or the settings page.

You are solely responsible for:

  • Reviewing your privacy settings before connecting a brokerage and before publishing any content.
  • Periodically auditing your settings to confirm they reflect your current intent.
  • Understanding that enabling any toggle exposes the corresponding data to the audience indicated (public, subscribers, or both).
  • Using the "Hide everything" control in settings if you need to immediately revoke public visibility.

You agree that Piggyback is not liable for any data exposure that results from your explicit toggle choices, your failure to review your settings, or technical failures in our software, our hosting providers, or any third-party integration (including SnapTrade, Supabase, Vercel, or Stripe). Piggyback provides privacy controls as a feature on a best-effort basis but cannot and does not guarantee that bugs, infrastructure failures, race conditions, caching anomalies, or third-party outages will never result in unintended display of data. By using the platform you accept this inherent risk.

We log every change to your privacy settings (timestamp, prior value, new value, originating user agent and IP). This audit trail exists to resolve any later dispute about who changed what and when.

6. Subscriptions, Payouts & Disputes

Creators set their own monthly subscription price. Piggyback retains 20% of subscription revenue as a platform fee; Creators receive 80%. Subscriptions are billed monthly and renew automatically until cancelled. You may cancel anytime; access continues through the end of the paid period.

Creator payouts. Payouts are processed through Stripe Connect. Before subscriptions to a Creator can open, the Creator must complete Stripe's payout onboarding and identity verification, and in doing so agrees to the Stripe Connected Account Agreement. A Creator's 80% share is routed to their connected Stripe account and paid out on a rolling schedule (currently delayed approximately seven days after each charge). Piggyback does not control, and is not responsible for, the timing of Stripe payouts, any reserves Stripe may hold, or verification delays imposed by Stripe.

Chargebacks & disputes. If a subscriber's bank or card issuer disputes a charge (a “chargeback”), the full disputed amount plus any non-refundable dispute fee charged by our payment processor is debited from Piggyback. Because the Creator already received 80% of that charge, the Creator bears their proportional share of the loss: Piggyback will reverse the corresponding amount from the Creator's Stripe balance or future payouts and, where that balance is insufficient and permitted by Stripe, recover it from the Creator's linked bank account. If a dispute is later resolved in the Creator's favor, the reversed amount is restored to the Creator. Creators are responsible for responding to disputes with supporting evidence when requested.

Refunds. Refunds are handled on a case-by-case basis. When a subscription payment is refunded, the Creator's 80% share of that payment is likewise reversed from the Creator's balance or future payouts.

Taxes. Creators are solely responsible for any taxes owed on their earnings; Piggyback does not withhold taxes on a Creator's behalf.

7. Content Ownership

Creators retain ownership of their original analysis, thesis content, and trade commentary. By posting on Piggyback, you grant us a non-exclusive license to display and distribute your content on the Platform.

8. Prohibited Conduct

  • Posting false or misleading trade information
  • Attempting to manipulate or game the verification system
  • Impersonating another user or investor
  • Using the Platform for pump-and-dump schemes or market manipulation
  • Providing personalized investment advice to any user, including but not limited to telling specific users to buy, sell, or hold any security based on their individual financial situation
  • Holding yourself out as a registered investment adviser, broker-dealer, or financial planner unless you are one
  • Scraping, crawling, or automated data collection without permission
  • Harassing, threatening, or abusing other users

Piggyback is a trade journal and educational platform. Creators share their own investment activity for transparency and education. Comments and discussions must remain general in nature — do not direct specific users to take specific investment actions.

In addition, the following categories of content may not be posted, distributed, or monetized on the Platform under any circumstances:

  • Adult content and services, including content that contains nudity or explicit sexual acts (e.g., subscriber-only nude images, or adult audio/video content);
  • Content that infringes the intellectual-property or proprietary rights of others;
  • Copyright-infringing content (e.g., redistributing paywalled research, articles, music, or media you do not have the right to distribute);
  • Violent extremism: content that engages in, encourages, promotes, or celebrates unlawful violence, or hate speech toward any group based on race, religion, disability, gender, sexual orientation, national origin, or any other immutable characteristic.

Reporting violations. Anyone — including users, rights holders, and other aggrieved parties — may report content they believe violates these Terms and request its removal by emailing support@piggyback.trade. We review reports promptly and remove violating content.

9. Disclaimers

The Platform is provided "as is" without warranties of any kind. We do not guarantee the accuracy, completeness, or timeliness of any data displayed, including brokerage-verified trades. Past performance does not guarantee future results.

10. Limitation of Liability

To the maximum extent permitted by law, Piggyback (Agent Launch LLC) shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to your use of the Platform, including but not limited to:

  • Investment losses of any kind;
  • Any inadvertent display, exposure, or disclosure of your portfolio data, trades, position counts, returns, or other personal information — whether caused by software bugs, race conditions, caching behavior, infrastructure failures, third-party integrations (including but not limited to SnapTrade, Supabase, Vercel, and Stripe), or any other technical cause;
  • Loss of data, profits, goodwill, or business opportunity;
  • Service interruptions, downtime, or delays in data synchronization;
  • Any action you take, or fail to take, in reliance on Platform data.

To the maximum extent permitted by applicable law, Piggyback's aggregate liability to you for any and all claims arising out of or relating to the Platform shall not exceed the amount you actually paid Piggyback in the twelve (12) months immediately preceding the event giving rise to the claim. For users who have paid no fees to Piggyback in that period, Piggyback's aggregate liability shall not exceed zero U.S. dollars (US$0). Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above may not apply to you.

11. Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms. Content that violates these Terms will be removed and, where applicable, demonetized. Repeat violators will have their accounts permanently terminated and any associated creator monetization permanently revoked. You may delete your account at any time through your account settings.

12. Assumption of Risk & No Reliance

You acknowledge that trading and investing in securities involves substantial risk of loss, including the potential loss of your entire investment. You agree that:

  • You will not rely on any information on the Platform as investment advice
  • You are solely responsible for your own investment decisions
  • You will conduct your own research before making any investment
  • You will consult a qualified financial advisor if you need investment advice
  • Past performance of any Creator does not guarantee future results

13. Indemnification

You agree to indemnify, defend, and hold harmless Agent Launch LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Platform; (b) your investment decisions, whether or not influenced by information on the Platform; (c) your violation of these Terms; or (d) your violation of any rights of another party.

14. Dispute Resolution & Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. Arbitration shall take place in the State of Delaware.

Class Action Waiver: You agree that any arbitration or proceeding shall be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in Delaware.

16. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or an in-app notification. Continued use after changes constitutes acceptance of the new Terms.
